The early-stage transaction comes as the renewable sector deals with severe production cuts from a market oversupply, with Engie among the groups preparing to review the wind and solar assets.

The potential transaction remains in its early stages, though several groups—including Engie—are preparing to conduct due diligence on the portfolio.

Echoenergia’s Acquisition and Market Pressures

Equatorial initially entered the renewable energy market by purchasing Echoenergia in 2021 for R$ 10 billion in enterprise value, according to Braziljournal. While the company holds a strong market reputation as an effective capital allocator in the energy sector, sources told Braziljournal that Equatorial “pagou caro” (paid dearly) for the acquisition just before the broader renewables industry entered a prolonged downturn.

Since 2023, wind and solar power plants have faced growing, forced production cutbacks driven by widespread system oversupply. This phenomenon, known as curtailment, has damaged company revenues and pushed investors away from the sector. When Actis, Echoenergia’s previous controller, sold the company during the peak of Brazil’s renewable market boom, it attracted offers from more than 10 interested parties. However, the subsequent market crisis prompted Equatorial to test the market for isolated Echoenergia assets roughly two years ago, though those deals fell through because curtailment issues complicated price negotiations.

Regulatory Shifts and Potential Deal Impact for Equatorial

Recent regulatory movements could alter deal dynamics. Following a law passed last year, the Brazilian government published a decree regulating partial compensation for losses caused by curtailment. According to a market source cited by Braziljournal, while this regulation may help restart mergers and acquisitions in the renewables sector, reconciling price expectations remains “bem difícil” (very difficult).

If CEO Augusto Miranda succeeds in selling Echoenergia, the move would allow Equatorial to lower its corporate leverage—currently sitting close to 3x EBITDA—and refocus capital and effort on its distribution and sanitation operations, according to Braziljournal. Among potential opportunities on the company’s radar is a possible acquisition of Enel São Paulo, should the Italian group decide to divest the concession amid political and regulatory pressures following blackouts across its operating territory between 2023 and 2025.
